Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and AZOIK LLC, a California limited liability company located at 984 Marlin Dr, Vista, CA 92084 ("we," "us," "our"), governing your use of MyAnsweringService (the "Service"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

The Service uses automated and AI-assisted systems to answer telephone calls and text messages on behalf of your business, to capture caller information, answer questions from information you provide, take messages, transfer calls, and schedule appointments. The Service is not an emergency service and must not be presented to callers as one.

2. Your account

You must be at least 18 and authorized to act for the business you register. You are responsible for the accuracy of the information you provide, for the security of your credentials, and for all activity under your account.

3. Your content and responsibilities

You provide the business information, greetings, scripts, pricing, and knowledge the Service uses to respond ("Your Content"). You represent that Your Content is accurate and that you have the right to use it. You grant us a limited license to use Your Content solely to operate the Service for you.

You are responsible for:

Obtaining any consent required to record or transcribe calls in the states where you operate
Obtaining valid consent before any text message is sent to your customers
Reviewing responses, appointments, and messages the Service produces
Complying with the TCPA, CTIA guidelines, 10DLC requirements, and all applicable laws

4. Acceptable use

You may not use the Service to send unsolicited marketing messages, to make or receive calls or texts involving unlawful, fraudulent, harassing, or deceptive content, to impersonate another business, or in any way that violates carrier rules or applicable law. We may suspend the Service immediately for violations of this section.

5. AI-generated responses

The Service uses artificial intelligence. Responses are generated automatically and may be incomplete, inaccurate, or unexpected. The Service may misunderstand a caller, mis-transcribe details, or fail to complete an action. You should not rely on the Service as the sole means of receiving time-critical, safety-critical, or emergency communications.

6. Telephone numbers and forwarding

You are responsible for configuring forwarding from your own numbers and for any charges from your carrier. Numbers we provision for you remain associated with your account while it is active. Number portability is subject to carrier rules and may not be available in all cases.

7. Fees and billing

Subscription fees are billed in advance on a recurring basis and are non-refundable except where required by law. Usage above your plan's included volume is billed at the rates disclosed to you. We may change pricing with 30 days' notice. Failure to pay may result in suspension or termination.

8. Cancellation

You may cancel at any time, effective at the end of the current billing period. We may suspend or terminate your account for breach of these Terms, non-payment, or where required by law or a carrier.

9. Third-party services

The Service relies on third-party telephony, messaging, AI, and calendar providers. Their availability, policies, and carrier decisions are outside our control, and interruptions caused by them are not a breach of these Terms.

10. Service availability

We aim for high availability but do not guarantee uninterrupted service. Maintenance, carrier outages, network failures, and force majeure events may cause interruptions. The Service is provided on an "as is" and "as available" basis.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT EVERY CALL OR MESSAGE WILL BE ANSWERED OR DELIVERED, OR THAT AI-GENERATED RESPONSES WILL BE ACCURATE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, OR MISSED OR MISHANDLED CALLS OR MESSAGES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will indemnify and hold us harmless from claims arising out of Your Content, your use of the Service, your failure to obtain required consents, or your violation of these Terms or applicable law , including claims under the TCPA or state call-recording statutes.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The exclusive venue for any dispute is the state or federal courts located in San Diego County, California, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms. Material changes will be posted here with a revised date. Continued use after changes take effect constitutes acceptance.
